These Terms of Use ("Terms") are a legal agreement between you and Thought Substrate Inc. ("Thought Substrate," "Joined," "we," "us," or "our") governing your use of Joined Agent and related services (the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

1. Eligibility and Account Type

  • You must be at least 18 years old to use the Service.
  • The current Service is for individual consumer use. Business and enterprise use is not supported under these Terms unless we provide separate written terms.
  • You must provide accurate account information and keep your credentials secure.

2. Service Scope and Evolution

The Service currently includes consumer experiences across web, iOS, messaging interfaces (including Telegram), and APIs. We may add, remove, or modify features over time.

We may introduce paid tiers, sharing surfaces, marketplaces, and related product features in the future. Additional feature-specific terms may apply when those features launch.

3. Ownership and License

3.1 Your Ownership

You retain ownership of your User Content, files, artifacts, and User Vault / Memory.

3.2 License You Grant to Us

To operate and provide the Service, you grant Thought Substrate a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt (for technical formatting), display, and transmit your content as necessary to:

  • Provide and personalize the Service for you.
  • Execute your instructions (including sharing/publishing you authorize).
  • Maintain safety, reliability, and support operations.

This license ends when your content is deleted, except for limited retention required for backups, legal compliance, and safety investigations as described in our Privacy Policy.

4. Privacy, Personalization, and Improvement

Our Privacy Policy explains how data is handled. By using the Service, you acknowledge:

  • Personalization occurs within your own user context.
  • Raw User Content and User Vault data are not used by default for generalized global model training.
  • Service improvement may rely on telemetry, derived signals, de-identified data, and optional consent-based programs.

5. Sharing, Publishing, and Bot-to-Bot Interaction

  • By default, your content is private.
  • Public or user-to-user sharing occurs only when you explicitly choose to publish/share.
  • Bot-to-bot interactions across users require explicit authorization by the affected users.
  • You are responsible for content you choose to publish or share.

6. Agent Behavior and User Responsibility

Joined Agent may generate suggestions, content, plans, or execute actions when authorized by you through connected tools and settings.

You acknowledge and agree that:

  • AI outputs may be incomplete, inaccurate, or inappropriate for your use case.
  • You are responsible for reviewing outputs and actions before relying on them.
  • You must not use the Service as a substitute for professional advice where law or regulation requires a licensed human professional.
  • We may require additional confirmations for selected actions based on risk, policy, or product design.

7. Prohibited Uses

You may not use the Service to:

  • Violate applicable law or third-party rights.
  • Engage in fraud, deception, or impersonation.
  • Develop or distribute malware, spyware, or unauthorized surveillance tools.
  • Attempt unauthorized access, interfere with platform security, or abuse system resources.
  • Generate or distribute content that is unlawful, exploitative, or intended to facilitate serious harm.
  • Conduct fully autonomous high-risk actions without required legal authority or human oversight.

8. Fees, Billing, and Refunds

Some features may require paid subscriptions or usage fees.

  • If you select a paid plan, you agree to pay applicable fees and taxes.
  • Unless stated otherwise in plan-specific terms, fees are non-refundable except as required by law.
  • We may change pricing with notice before changes apply.

9. Data Export and Deletion

You can export your User Vault data in machine-readable formats (including JSON/ZIP bundles) through available product tools or support workflows.

If you delete your account, data handling follows our Privacy Policy, including active-system purge targets and legal-hold exceptions.

10. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate access if reasonably necessary to:

  • Enforce these Terms.
  • Prevent abuse, fraud, or security risks.
  • Comply with legal obligations.
  • Protect users, third parties, or the Service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, error-free, or perfectly secure operation, and we do not guarantee output accuracy, completeness, or fitness for legal, medical, financial, or other regulated decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THOUGHT SUBSTRATE AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
    • (A) AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
    • (B) USD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Thought Substrate, its affiliates, and their respective officers, directors, employees, and agents from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:

  • Your misuse of the Service.
  • Your violation of these Terms.
  • Your violation of applicable law or third-party rights.

14. Dispute Resolution, Arbitration, and Class Waiver

Please read this section carefully. It affects your legal rights.

14.1 Informal Resolution First (30 Days)

Before filing a claim, you and Thought Substrate agree to attempt informal resolution for at least 30 days.
To start, send notice to legal@joined.ai with your name, contact information, a description of the dispute, and requested relief.

14.2 Binding Individual Arbitration

If a dispute is not resolved informally, it will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under applicable AAA Consumer Arbitration Rules, except where prohibited by law.

This arbitration agreement is governed by the Federal Arbitration Act (FAA).

14.3 Class and Representative Action Waiver

You and Thought Substrate agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative proceeding.

14.4 Small Claims and Injunctive Relief

Either party may bring an individual claim in small claims court if it qualifies.
Either party may seek injunctive or equitable relief in court for intellectual property misuse or unauthorized access/security violations.

14.5 Arbitration Opt-Out (30 Days)

You may opt out of arbitration and class waiver within 30 days of first accepting these Terms by sending written notice with your account email and clear opt-out statement to:

If you opt out, disputes will be resolved in court as allowed by these Terms.

15. Governing Law and Venue

These Terms are governed by Texas law, without regard to conflict-of-law principles, except that the FAA governs arbitration enforceability and procedure.

For disputes that are not subject to arbitration, you and Thought Substrate consent to exclusive jurisdiction and venue in state or federal courts located in Travis County, Texas.

16. Changes to These Terms

We may update these Terms from time to time.

  • For material changes, we will generally provide at least 30 days' advance notice.
  • Continued use after the effective date of updated Terms constitutes acceptance.
  • If we seek to materially expand use of previously collected User Content or User Vault / Memory beyond existing commitments, we will request explicit consent before applying that expanded use to previously collected content.
  • We publish material legal updates in our Legal Changelog.

17. Export Controls and Sanctions

You may not use, export, re-export, transfer, or provide access to the Service except as authorized by United States law and other applicable laws.

You represent and warrant that:

  • You are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive embargoes that prohibit your use of the Service.
  • You are not listed on any applicable government restricted-party list.
  • You will not use the Service for prohibited end uses under applicable export-control or sanctions laws.

18. Force Majeure

Thought Substrate is not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility failures, government actions, or failures of third-party infrastructure providers.

19. Assignment

You may not assign or transfer these Terms or any rights/obligations under them without our prior written consent. We may assign these Terms, in whole or part, including in connection with a merger, acquisition, corporate reorganization, or asset sale.

20. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

21. Waiver and Remedies

Failure by Thought Substrate to enforce any provision of these Terms is not a waiver of future enforcement of that or any other provision. Except as expressly stated, rights and remedies under these Terms are cumulative.
